Terms and Conditions for Companies Dealing with Winch Logistics Services

First: Definitions
For the purposes of these Terms and Conditions, the following terms shall have the meanings indicated next to each of them unless the context requires otherwise:
Winch Logistics Services Company (hereinafter referred to as “Winch”): The company that owns and operates the “Winch” application and its related online platform, specialized in providing smart transport services and connecting companies and individuals with transport service providers.
Commercial Client / Partner Company (hereinafter referred to as “Client”): Any commercial entity or company that uses the “Winch” application to request transport or shipping services.
Application / Platform: The digital system owned by Winch that is used to organize transport operations, manage orders, payments, and tracking.
Service: Any cargo transport or shipping operation carried out through the application by Winch drivers or its approved service providers.
Agreement: Refers to these Terms and Conditions, including all related appendices and complementary policies.
Fees / Commissions: The amounts due to Winch in return for using the platform or completing transport services.
Parties: Refers collectively to Winch Logistics Services Company and the Commercial Client.

Second: Scope of the Agreement
This Agreement governs the relationship between Winch Logistics Services Company and the Commercial Client in connection with the use of transport services provided through the Winch application.
The Client acknowledges that Winch acts as a technological intermediary between the Client and the drivers or service providers and is considered a direct party to the executed transport contracts.
Use of the application is subject to these Terms and Conditions as well as any other policies issued by Winch from time to time.

Third: Registration and Usage Conditions
  • The Client must register an official account under its correct trade name and provide all required documents, including the commercial registration and tax card, if applicable.
  • The Client acknowledges that all data submitted to Winch is accurate and up to date and bears full responsibility for any incorrect information.
  • Winch reserves the right to reject or suspend any Client account in case of non-compliance with these terms or submission of inaccurate data.
  • The Client must not use the platform for any unlawful purpose or any activity that may harm the reputation of Winch or its users.
  • All financial and administrative transactions must be conducted exclusively through the Winch application or official company channels.

Fourth: Winch Logistics Services Obligations
Winch commits to:
  1. Providing a secure and reliable electronic platform that enables Clients to request transport services easily.
  2. Selecting verified and approved drivers and transport providers.
  3. Monitoring service quality through a rating and review system.
  4. Providing ongoing technical and customer support during platform usage.
  5. Maintaining the confidentiality of Client business data in accordance with the approved Privacy Policy.

Fifth: Obligations of the Commercial Client
The Client agrees to:
  1. Accurately specify transport request details (type, weight, address, loading and delivery times).
  2. Ensure that the transported goods are legal and free from prohibited or hazardous materials.
  3. Pay all service fees on time through the available payment channels.
  4. Notify Winch immediately in case of any complaint, damage, or loss of goods.
  5. Refrain from direct communication with drivers outside the application for off-platform services.
  6. Preserve the company’s reputation and not use the Winch trademark without written authorization.

Sixth: Pricing and Fees
  • Service prices are determined based on the type of service, distance, weight, and location, and are displayed to the Client before confirming the order.
  • Winch charges a commission or service fee for using the platform.
  • Winch reserves the right to adjust prices or fees at any time after notifying the Client through the app or via email.
  • In the event of delayed payments, Winch reserves the right to temporarily suspend the Client’s account or apply late fees as permitted by law.

Seventh: Execution and Delivery Responsibilities
  • Winch is not directly responsible for carrying out the transport operations; these are performed by verified drivers or registered carrier companies.
  • The Client acknowledges that responsibility for the safety of goods during transport lies with the executing driver or service provider.
  • In the event of damage or loss of goods, claims shall be handled in accordance with Winch’s claims and compensation policy.
  • Winch bears no responsibility for delays resulting from force majeure or unforeseen circumstances beyond its control.

Eighth: Confidentiality and Data Protection
  • Winch is committed to maintaining the confidentiality of all Client data and transaction information.
  • The company may use operational data for analysis, service improvement, and development purposes only.
  • The Client is prohibited from sharing or using driver or end-customer data for marketing purposes without Winch’s prior written consent.

Ninth: Intellectual Property
All intellectual property rights, trademarks, logos, and content of the Winch application are the exclusive property of Winch Logistics Services Company.
The Client may not copy, modify, republish, or exploit any part of the platform without prior written approval from the company.

Tenth: Duration and Termination of the Agreement
  • This Agreement becomes effective upon the Client’s acceptance of the terms and remains valid as long as the Client uses Winch services.
  • Either party may terminate the Agreement by giving the other party at least 30 days’ written notice.
  • Winch reserves the right to terminate immediately in case of any violation of these terms or misuse of the platform.
  • Termination does not affect any rights or obligations accrued prior to the termination date.

Eleventh: Legal Liability
  • The company shall not be liable for any indirect or consequential losses, including loss of profit or business reputation.
  • In all cases, Winch’s total liability—if any—shall not exceed the value of the disputed service.

Twelfth: Amendments and Updates
  • Winch reserves the right to amend these terms at any time.
  • Such amendments become effective immediately upon being published on the app or communicated to the Client.
  • Continued use of the application after the update constitutes implied acceptance of the revised terms.

Thirteenth: Governing Law and Dispute Resolution
These Terms and Conditions are governed by and interpreted in accordance with the laws of the Arab Republic of Egypt.
Any disputes arising between the parties shall be submitted to arbitration or the competent courts within the Arab Republic of Egypt.

Fourteenth: Acknowledgment and Acceptance
The Client acknowledges that they have carefully read and fully understood these Terms and Conditions, and that their use of the Winch Logistics Services application constitutes full and unconditional acceptance of all its provisions.
Terms and Conditions for Drivers Working on the “Winch” Logistics Application

First: Definitions
  1. Application / Platform: The Winch Logistics electronic application that provides smart freight transport services, owned by Winch Logistics Company.
  2. Company: Winch Logistics Company, the owner and operator of the application, responsible for its operation, management, and maintenance.
  3. Driver / Service Provider: The individual registered on the Winch application and authorized to provide freight transportation services.
  4. Customer: Any user who requests transportation services through the Winch application.
  5. Service: The process of transporting goods carried out through the application by the driver.
  6. Account: The electronic account created by the driver to provide services through the Winch application.
  7. Fees / Commissions: The amounts due to the company in consideration for using the application and performing the services.

Second: Registration and Membership Requirements
  1. The driver must be at least 21 years old at the time of registration.
  2. The driver must hold a valid driving license and own a suitable, safe, and compliant vehicle.
  3. The driver must submit the following documents:
    • National ID card or passport.
    • Driving license and vehicle registration.
    • Recent criminal record certificate (“Fesh wa Tashbih”).
    • Valid vehicle insurance document.
  4. Accurate and up-to-date information must be provided. Winch reserves the right to suspend or terminate the account if false information is submitted.
  5. Final acceptance of the driver is subject to review and approval by Winch at its sole discretion.

Third: Driver Obligations
  1. Strict compliance with all traffic laws and regulations applicable in the Arab Republic of Egypt.
  2. Maintain professional and respectful behavior when dealing with customers.
  3. Ensure the safety of goods during loading, transport, and delivery.
  4. Keep the vehicle clean and in good working condition at all times.
  5. Refrain from using the application for any illegal or unauthorized purposes.
  6. Do not share the account or login credentials with anyone else.
  7. Adhere to the pricing set by Winch and do not request any additional payment from the customer.
  8. Communicate promptly with the customer in case of any delay or obstruction during the service.
  9. Immediately report any accident, damage, or loss of goods to Winch management.
  10. Do not carry any passengers during the service without prior approval from the company.

Fourth: Commissions and Payments
  1. Winch is entitled to a specified commission on each transport transaction made through the application.
  2. The commission is automatically deducted from the fare amount before transferring the remaining balance to the driver.
  3. In the case of cash payments, the driver must remit the due commission to the company within the specified period through approved payment methods.
  4. Winch reserves the right to amend commission rates or fees after notifying the driver via the app or email.
  5. The company shall not be responsible for any bank transfer delays caused by incorrect driver banking details.

Fifth: Quality and Rating
  1. Drivers are subject to customer ratings after each completed service.
  2. Winch reserves the right to suspend or deactivate a driver’s account in case of low ratings or repeated complaints.
  3. Drivers are strictly prohibited from manipulating or influencing the rating system in any way.
  4. The company reserves the right to retain all rating and complaint records for the purpose of service improvement.

Sixth: Intellectual Property
  1. All intellectual property rights, trademarks, logos, and software content of the Winch application are the exclusive property of Winch Logistics Company.
  2. The driver is not permitted to copy, modify, or reuse any part of the application without prior written consent from the company.

Seventh: Suspension and Termination
  1. Winch reserves the right to suspend or terminate a driver’s account in the following cases:
    • Violation of any clause of these terms.
    • Submission of misleading information or documents.
    • Causing harm to the company’s reputation or that of its clients.
    • Repeated complaints or negative reports.
  2. The driver may request to close their account with prior notice to the company.
  3. The company reserves the right to retain data and records for legal or operational purposes.

Eighth: Legal Liability
  1. Winch acts solely as a technical intermediary between the driver and the customer and is not a direct party to the transportation contract.
  2. The driver bears full responsibility for:
    • The safety of goods during transport.
    • Any damages, violations, or losses occurring during the service.
  3. The company shall not be liable for any technical failures or delays beyond its control.

Ninth: Confidentiality and Data Protection
  1. The driver must maintain the confidentiality of customer data and use it only for the purpose of performing the service.
  2. Winch reserves the right to collect and process driver data in accordance with its Privacy Policy.
  3. The driver is prohibited from sharing, selling, or using customer data for any other purpose.

Tenth: Amendments and Updates
  1. Winch reserves the right to amend these terms and conditions at any time.
  2. Amendments become effective immediately upon being published on the application.
  3. Continued use of the Winch application after the publication of amendments constitutes the driver’s implied acceptance of such changes.

Eleventh: Governing Law and Dispute Resolution
  1. These terms and conditions are governed by the laws of the Arab Republic of Egypt.
  2. Any disputes or disagreements shall be referred to the competent judicial or arbitration authorities within the Republic.

Twelfth: Acknowledgment and Acceptance
The driver acknowledges that they have read and fully understood these terms and conditions and agree to comply with them when using the Winch Logistics application or when providing any service through it.
